In this regard, we have advised a broad range of clients—including project sponsors, developers, contractors, financial institutions and government entities—in projects such as highways, ports, railway projects, dams, airports, correctional facilities and government facilities.
Our services include project structuring, acquisition of site rights, establishment of corporate structures and joint ventures, negotiation and execution of contracts (design, construction, engineering-procurement- construction (EPC), concessions, operation and maintenance), advisory services regarding project financing under various structures, obtaining permits and licenses, temporary importation of machinery, labor and social security audits and advisory services related to construction projects, implementation of dispute resolution mechanisms to facilitate project execution, and preparation of due diligence reports for project acquisitions and disposals.
We also advise on all stages of public procurement procedures for all types of projects, from obtaining preliminary authorizations — including budget, legislative and project registration approvals — and drafting bidding terms and conditions and the corresponding agreements, to all phases of the tender process, including clarification meetings, bid evaluations, award decisions and supporting reports.

Representative Matters
Maya Train Project. Advising the construction consortium for Section 1, as well as the supervision consortium for Sections 4, 5 South, and Workshops and Rail Yards, in connection with the award of the relevant contracts, project execution, subcontracting matters, amendment agreements, audits and regulatory compliance, among others.
Public Lighting PPP. Assisted in the submission of an unsolicited proposal and the subsequent execution of a Public-Private Partnership (PPP) for public lighting infrastructure. This was one of the first projects of its kind to comply with the Financial Discipline Law, allowing registration and the use of federal revenue-sharing funds as collateral.
Guadalajara Light Rail Line 3. Advising first the contractor and subsequently the project supervisor of this major infrastructure project in western Mexico, in all matters related to the proper performance of their obligations throughout project development.
Due Diligence for Project Acquisitions. Over the past year, we have assisted major international companies in conducting detailed reviews of existing projects for acquisition purposes, primarily power generation plants and highway concessions.
Industrial Parks. Recently, the team has also advised industrial park owners and companies operating within such parks (primarily in the automotive industry) on all matters necessary for the construction and commencement of operations of new built-to-suit facilities, including the procurement of essential operational services.
CFE Plant Renovation and Construction Projects. Structuring a transaction for the repowering of CFE power generation plants under a special payment mechanism. We also advised a major Chinese multinational company in connection with the construction of a 350 MW power plant for CFE.
Construction. We advise all types of construction companies, including some of the largest in the world, in their operations in Mexico, including participation in public and private tenders, preparation of contract templates, specific negotiations, and overall project execution.
Aguascalientes Western Bypass. We assisted the State Government in the revocation of a concession title and the tender process for a new concession for the construction and operation of the highway bypass, as well as its ongoing execution.
Legislative Reforms. Advised a state government on the review and amendment of its public-private partnership legislation to align it with industry needs (particularly regarding bankability issues) and enable its implementation in new projects.

- Risk Assessment Report for the Acquisition of Power Plants. Preparation of a regulatory risk assessment report, including potential mitigation strategies, in connection with the proposed acquisition of two combined-cycle power plants with an aggregate capacity exceeding 270 MW. One of the facilities operated under the Isolated Supply scheme, with plans for future expansion and interconnection, while the other imported all of its electricity under a legacy import permit issued pursuant to the former Public Electricity Service Law, requiring migration to the current regulatory framework in the coming years. The report addressed, among other matters: risks associated with compliance with isolated supply requirements; risks arising from future interconnection; risks linked to constitutional challenges (amparos) filed against recent energy regulations; and risks related to the migration of the legacy permit into the Wholesale Electricity Market framework.
- Due Diligence for the Acquisition of a Power Generation Project Portfolio. We are currently conducting multiple legal, regulatory, and real estate due diligence reviews in connection with several electricity generation projects as part of a potential portfolio acquisition strategy. The projects are at different stages of development and include a potential joint project with Comisión Federal de Electricidad through an unsolicited proposal for the construction and operation of a utility-scale wind power plant in the Yucatán Peninsula.
- Load Aggregation and Registration of Municipality as Qualified User. Advising a municipality in aggregating electricity loads associated with its public street lighting infrastructure in order to obtain Qualified User status and secure access to electricity supply under more competitive pricing conditions.
- Municipal Water Utilities. Advising municipal water utility entities in a northern Mexican state on the aggregation of electricity loads related to water pumping systems in order to obtain Qualified User status. Simultaneously, we are assisting them in the procurement process for the selection of a qualified electricity supplier, with the objective of achieving significant energy cost savings.
- Industrial Parks in Sonora. Advising one of the leading industrial park groups in northern Mexico on various energy-related projects within its industrial parks, including: (i) comprehensive legal and regulatory advice for the construction of a substation, transmission line, and distribution infrastructure to secure electricity supply for one of its industrial parks, as well as the implementation of a third-party energy commercialization scheme without requiring a permit from the Comisión Reguladora de Energía (CRE); (ii) advisory services related to the implementation of distributed generation projects within its industrial parks; and (iii) legal support for the development of a future utility-scale solar photovoltaic generation facility.
